As you are aware, Clause 49 of the Equity Listing Agreement revised vide SEBI circular No. CIR/CFD/POLICY CELL/2/2014 dated April 17, 2014 and further amended on September 15, 2014 is effective from today, the October 01, 2014.
As per the amended Clause 49 (X)(B) of Equity Listing Agreement, the companies are required to submit a quarterly compliance report to the stock exchanges in the prescribe format and the report shall be signed either by the Compliance Officer or the Chief Executive Officer of the company.
Further, practicing company secretary is authorised to certify compliance of conditions of corporate governance. The Certificate will be annexed to the directors’ report, which is sent annually to all the shareholders of the company {Clause 49 (XI)(A)}
