Secretarial Standards on Meetings of the Board of Directors (SS-1) and General Meetings (SS-2) have been revised by the ICSI and approved by the Central Government under section 118(10) of the Companies Act, 2013. The revised SS-1 and SS-2 as issued by the ICSI are applicable to all the companies (except the exempted class of companies) w.e.f. 1stOctober, 2017.
To facilitate the compliance and smooth implementation of revised Secretarial Standards in true letter and spirit, the updated Guidance Notes on revised SS-1 & SS-2 are now available on ICSI website at the link https://www.icsi.edu/ssb/
The Guidance Notes on revised SS-1 & SS-2 elucidate the basis for setting the particular Standard, explain the procedural & practical aspects thereof and gives illustrative examples.These Guidance Notes also integrate the responses to issues/queries raised by the stakeholders. The provisions applicable in respect of listed companies are also highlighted separately for the purpose of Guidance to the stakeholders.
